Role Purpose
Assist Head of Legal with the objective to continuously improve the provision of fit-for-purpose legal services to facilitate the companies’ business objectives and be seen as a true business partner by the internal stakeholders, focused on the LNG concessions, integration and restructuring and concomitant legal, commercial and contractual structure required therefore.
As directed by the Head of Legal, implement legal and other professional standards to the company’s staff to comply with, with the objective of protecting company interests and ensuring a strong legal standing for the company. Assist in the development of legal staff.
Responsibilities
1. Assist Head of Legal to lead, implement and render LNG concessions, integration and restructuring for Oman LNG L.L.C. and Qalhat LNG S.A.O.C.
2. Assist in and advise on, in consultation with Head of Legal, the effective drafting, reviewing and interpreting of key contracts and assist in negotiations to ensure adequate safeguarding of the Company’s interests (commercial and legal) in relation to the LNG concessions.
3. Assist the company in protecting its legal position under key contractual commitments vis a vis the gas supplier and LNG off-takers.
4. Provide detailed input on ethics and compliance policies and procedures and assist in awareness training to staff.
5. As directed by Head of Legal, assist and manage activities relating to LG Master/Sale Agreements implementing the business model or commercial models required for the OLNG/QLNG and management team on the relevant aspects of the issues and possible future courses of action to protect company interests.
6. Assist Head of Legal with the coaching, mentoring and development of legal staff to ensure the minimum competency levels are met or exceeded by a yearly review of their training needs, on the job exposure, preparation of a personal development plan and regular feedback sessions including mid-year and final year appraisal.
Challenges
1. Managing complex legal issues in the Omani jurisdiction
2. Managing the interface with many stakeholders (directors which include senior Government representatives, shareholders, lenders, management team members) who have diverging interests;
3. Timely providing of fit-for-purpose legal advice and contract drafting to a sizeable organization with many different local and international activities (operational, equity participations, marketing, corporate, social responsibility projects, etc.) through a very small team, with little reliance on external counsel.
4. Keeping abreast of both local and international legal developments and the rapidly changing governance environment.
Requirements
1. LLB or equivalent degree in law (LLM Preferred).
2. Seasoned legal professional with 6 and more years of experience in in-house counsel roles and/or private practice, including substantial experience in corporate and contractual law and the oil and gas industry and international laws.
